The essentials
- Scope of work. Precisely what you're building and, just as importantly, what you're not. Vague scope is the #1 source of unpaid work.
- Build fee and payment schedule. The total, and when it's due (a common split: 50% to start, 50% on delivery).
- Monthly retainer. The amount, what it covers (hosting, monitoring, maintenance, a set number of changes), and what counts as out-of-scope.
- Timeline and milestones. Discovery, build, testing, handoff — with dates.
- Client responsibilities. Access, approvals, and turnaround times you need from them to hit the timeline.
Data, access, and security
Spell out what client data and accounts you'll access, how it's handled, and who owns the credentials. For regulated niches (legal, healthcare), reference the compliant infrastructure you're using and sign any required agreements. This builds trust and limits your liability.
Ownership and cancellation
Clarify who owns the systems and workflows you build, and what happens on cancellation — notice period, final invoices, and whether the client keeps the automations or loses access. A clean cancellation clause protects your recurring revenue and prevents disputes.
Protecting against scope creep
Tie every request to the SOW. Changes outside it are a paid change order, not a favor. Agreeing this up front, in writing, is what keeps retainers profitable.
